1. Agreement to Terms
By accessing or using MedaSynq Technologies ("MedaSynq," "we," "us," or "our") services, including our website, applications, and related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services.
These Terms constitute a legally binding agreement between you and MedaSynq Technologies. By using our Services, you represent that you are at least 18 years old and have the legal capacity to enter into this agreement.
2. Description of Services
MedaSynq provides life insurance infrastructure services, including:
- Policy Vault: Secure storage and management of life insurance policy information
- Claim Assist: Assistance with filing life insurance claims
- Policy Finder: Locating unknown or lost life insurance policies
- Beneficiary Management: Tools for managing policy beneficiaries
We act as a facilitator and do not provide insurance products directly. We are not an insurance company, insurance agent, or licensed insurance broker. Our services are designed to help you organize, manage, and file claims for your existing life insurance policies.
3. Authorization and Consent
By using our Services, you authorize MedaSynq to:
- Act on your behalf to communicate with insurance carriers regarding your policies
- Request information about your policies from insurance carriers
- Submit claim forms and supporting documentation on your behalf
- Receive communications from insurance carriers regarding your claims
- Store and process your personal information as described in our Privacy Policy
IMPORTANT: You understand and agree that by providing your authorization, you are granting MedaSynq permission to act as your representative in matters related to your life insurance policies. This authorization remains in effect until you revoke it in writing.
4. Subscription Services and Payments
4.1 Subscription Plans
We offer various subscription plans with different features and pricing. By subscribing to a plan, you agree to pay the applicable fees as described at the time of subscription.
4.2 Billing
Subscription fees are billed in advance on a monthly or annual basis depending on the plan you select. Your subscription will automatically renew unless you cancel before the renewal date.
4.3 One-Time Services
Certain services, such as Claim Assist and Policy Finder, may be purchased as one-time services. These fees are non-refundable once services have commenced except as otherwise provided in these Terms.
4.4 Refund Policy
Subscriptions: You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing period. No refunds will be provided for partial months or unused time.
One-Time Services: For Claim Assist and Policy Finder services, refund eligibility depends on the stage of service delivery:
- Before work begins: Full refund available within 48 hours of purchase
- After work has commenced: No refund available
- Service completion: No refund available
4.5 Chargebacks and Disputes
IMPORTANT: By using our Services, you agree not to initiate a chargeback or payment dispute with your bank or credit card company without first contacting us to attempt resolution. Initiating a chargeback in bad faith may result in:
- Immediate termination of your account and access to Services
- Collection of any outstanding amounts plus administrative fees
- Being banned from future use of our Services
We maintain detailed records of all authorizations, transactions, and service delivery to resolve any disputes. Please contact us at support@medasynq.com to resolve any billing concerns.
5. User Responsibilities
You agree to:
- Provide accurate and complete information when using our Services
- Keep your account credentials secure and confidential
- Notify us immediately of any unauthorized use of your account
- Use our Services only for lawful purposes
- Not misrepresent your identity or your relationship to any insured person
- Not use our Services to commit fraud or deceive insurance carriers
6. Limitations and Disclaimers
6.1 No Guarantee of Claim Approval
While we strive to assist you in filing complete and accurate claims, we cannot guarantee that any insurance claim will be approved or paid. Claim decisions are made solely by the insurance carriers based on their policies and procedures.
6.2 Not Legal or Financial Advice
Our Services do not constitute legal, financial, or insurance advice. We recommend consulting with qualified professionals for specific legal, financial, or insurance matters.
6.3 Service Availability
We strive to maintain continuous availability of our Services but do not guarantee uninterrupted access. We may perform maintenance or updates that temporarily affect service availability.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEDASYNQ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
8. Indemnification
You agree to indemnify and hold harmless MedaSynq, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, or your violation of any rights of another party.
9. Termination
We may terminate or suspend your access to the Services at any time, with or without cause, with or without notice. Upon termination, your right to use the Services will immediately cease.
You may terminate your account at any time by contacting us at support@medasynq.com. Termination does not relieve you of any obligations to pay fees incurred before termination.
10. Governing Law and Disputes
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions.
Any disputes arising from these Terms or your use of the Services shall be resolved through binding arbitration in Tampa, Florida, in accordance with the rules of the American Arbitration Association. You waive any right to participate in a class action lawsuit or class-wide arbitration.
11. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after such changes constitutes your acceptance of the modified Terms.
